Terms of Service

These Terms of Service ("Terms") govern access to and use of ForgeLine Partners and related services ("ForgeLine," "we," "our," "us"; the "Service"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Service overview

ForgeLine Partners operates a platform that connects homeowners ("Customers") with vetted local Lead Contractors for residential renovation and home-improvement projects, and gives Lead Contractors tools to scope, price, schedule, bill, and manage those projects. The Service includes public pages where Customers can request project quotes, contractor recruitment pages, authenticated contractor accounts, project-and-payment management tools, and related billing and support workflows. We may improve, modify, suspend, or discontinue features over time.

2. Eligibility

You must be at least 18. If you use authenticated portions of the Service on behalf of a company, you represent that you have authority to bind it.

3. Accounts, invitations, and verification

Contractor account access may be invite-only unless we provide another onboarding path. We may require email verification. You agree to provide accurate information, keep your credentials secure, notify us of unauthorized access, and accept responsibility for activity under your account. If you administer staff or crew, you are responsible for their compliance with these Terms.

4. Contractor participation

Lead Contractor placement, market availability, and public visibility follow ForgeLine's policies and are subject to operational constraints, quality standards, and business discretion.

5. Project requests and matching

Customers may submit project requests through the Service. We may route or match a request to a participating Lead Contractor, or handle it through ForgeLine operations. We do not guarantee request volume, matching, or project outcomes. If you submit information through a form, you represent that it is accurate and that you have the right to provide it.

6. Communications

The Service may use third-party communications providers (including Twilio) to connect Customers and Lead Contractors and to support operational messaging. You are responsible for compliance with applicable communications, privacy, and consumer-protection laws for communications you initiate or cause.

7. No emergency services

The Service is not an emergency dispatch or emergency communications service and is not a substitute for 911. Do not use it for emergencies.

8. Acceptable use

You agree not to use the Service to violate law; submit false or unlawful information; send unlawful communications; infringe others' rights; transmit malware or disrupt the Service; scrape or misuse the Service; or misrepresent your identity, business, or authority. We may suspend or terminate access that violates these Terms or creates legal, security, or operational risk.

9. Contractor fees and billing

ForgeLine's own charges to Lead Contractors (for example, subscription or network-seat fees) are billed per the pricing presented in your account billing experience or written agreement. You authorize us and our payment processor to charge applicable amounts. Except where required by law or stated in writing, these fees are non-refundable. (This section covers ForgeLine's charges to contractors — it is separate from project payments, covered in Section 10.)

10. Project payments — paid directly to the Lead Contractor

For residential projects, the Lead Contractor is the merchant of record and receives Customer payments directly through our payment processor (Stripe). ForgeLine does not collect, hold, or take custody of project funds — payments are routed by Stripe to the Lead Contractor's own account at the time of payment.

ForgeLine's compensation for a project is a platform fee equal to 40% of the contract's Gross Margin Pool (the Lead Contractor keeps the remaining 60% plus the labor-and-materials base), collected automatically as a Stripe application fee at the time each payment is captured. Customers authorize the Lead Contractor and Stripe to charge the agreed amount at checkout. A Customer's payment amount may include an estimated payment-processing amount so the project is fully funded after fees.

11. Project refunds, disputes, cancellations, and change orders

Refunds, disputes, and chargebacks on project payments are handled by the Lead Contractor as merchant of record, against the Lead Contractor's balance. ForgeLine's platform fee is earned when a payment is collected and is not returned if that payment is later refunded or reversed, and Stripe does not return its processing fee on a refunded payment. A refund therefore covers the labor, materials, and the Lead Contractor's share of the Gross Margin Pool collected on that payment. Refund eligibility depends on project status and work performed. Scope changes require the Customer's approval and a new payment before additional work proceeds. Project funds are available to the Lead Contractor on Stripe's standard schedule; ForgeLine never holds project funds or controls when they reach the Lead Contractor.

12. Customer data and license

You retain ownership of data you submit ("Customer Data"). You grant ForgeLine a limited, non-exclusive license to host, process, transmit, display, and use Customer Data solely to provide, maintain, secure, support, and improve the Service and meet legal obligations.

13. Third-party services

The Service integrates with third parties including payment processors (Stripe), communications providers (Twilio), and security/fraud tools. We are not responsible for their availability, security, or performance; your use of them is subject to their terms.

14. Confidentiality

Each party will protect non-public business or technical information received from the other and use it only for purposes related to the Service.

15. Intellectual property

ForgeLine and its licensors own all rights in the Service (excluding Customer Data), including software, branding, and content. No rights are granted except as expressly stated.

16. Availability and performance disclaimer

We target reliable operation but do not guarantee uninterrupted or error-free service, and we do not guarantee project volume, matching, conversion, or revenue outcomes.

17. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind.

18. Limitation of liability

To the maximum extent permitted by law, ForgeLine is not liable for indirect, incidental, consequential, special, or punitive damages, or loss of profits, goodwill, or data. Our aggregate liability will not exceed the amount you paid ForgeLine in the 12 months before the event giving rise to the claim.

19. Indemnification

You agree to indemnify and hold harmless ForgeLine from claims arising from your use of the Service, your violation of these Terms or applicable law, your projects and contracts with Customers, or information you submit.

20. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access for breach, non-payment, legal or security risk, or misuse.

21. Governing law

These Terms are governed by the laws of the United States and the state in which ForgeLine is headquartered, without regard to conflict-of-law rules.

22. Changes to these Terms

We may update these Terms; updated versions are posted with a revised "Last updated" date. Continued use after the effective date constitutes acceptance.
